Terms of Service

1. Service Description

FluxDrop is a software platform operated by Payflux Technologies, Inc., a Wyoming C-Corporation ("Payflux," "we," "us," or "our"). It provides APIs, dashboards, and smart contract templates for licensed financial institutions to issue and manage on-chain digital incentives.

The Service is non-custodial: We do not custody, transmit, hold, or control customer funds or digital assets. All transfers occur directly from your wallet via smart contracts you approve.

2. Eligibility and Acceptance

Access requires execution of a Master Services Agreement (MSA) and verification of your status as a licensed financial institution. By accessing the Service, you agree to these Terms, your MSA, and all applicable laws.

You represent that you hold necessary licenses (e.g., money transmitter, banking charter) and are authorized to use the Service.

3. User Obligations

You agree to:

  • • Comply with all laws, including anti-money laundering, sanctions, and data protection regulations
  • • Maintain security of your wallets and private keys
  • • Use the Service only for lawful purposes under your licenses
  • • Not engage in prohibited activities, such as unlicensed transmission or fraud

4. Intellectual Property

We retain all rights to the Service. You receive a limited, non-transferable license for internal use during your MSA term. Your data remains yours; we claim no ownership.

5. Fees and Payment

Fees are as specified in your MSA. Payments are due per MSA terms. Late payments accrue 1.5% monthly interest. We may suspend access for non-payment.

6. Disclaimers and Limitation of Liability

The Service is provided "as is" without warranties. Blockchain interactions carry risks (e.g., irreversibility, smart contract bugs).

To the maximum extent permitted by law, our liability is limited to fees paid in the prior 12 months. We are not liable for indirect, consequential, or punitive damages.

7. Indemnification

You indemnify us against claims arising from your use, including regulatory violations or end-user disputes.

8. Termination

We may terminate for breach with 10 days' notice. Upon termination, access ends; you must export your data.

9. Governing Law and Dispute Resolution

Governed by Wyoming law. Disputes resolved via binding arbitration in Laramie County, Wyoming, under AAA rules (no class actions).

10. Changes

We may update these Terms with 30 days' notice via email or dashboard. Continued use constitutes acceptance.
